These Business Listing Terms ("Listing Terms") apply when a business owner, business representative, or authorized user ("Business Owner," "You," or "Your") purchases, submits, renews, or manages a business listing ("Listing") in a business directory sponsored or administered by a participating organization ("sponsoring Organization") and powered by Amplifya Network. Amplifya Network is operated by Caldwell Allen Consulting, LLC, a Georgia limited liability company (“Caldwell Allen Consulting,” “Amplifya Network,” “Amplifya,” “We,” “us,” or “our”). By submitting, purchasing, renewing, or managing a Listing, or by otherwise accepting these Listing Terms through any method made available by Amplifya or the sponsoring Organization — whether by electronic means (such as clicking to accept or completing an online submission) or by non-electronic means (such as a signed form or other written confirmation) — You represent that You are authorized to act on behalf of the business and You agree to these Listing Terms, Amplifya’s Terms of Service, and Amplifya’s Privacy Policy. These Listing Terms apply to Your Listing from the time You submit it, and apply before and independently of any payment of the Listing Fee. Acceptance by any such method is binding.
1. Purpose of Terms
Amplifya Network allows participating organizations to create and manage business directories that support fundraising, visibility, economic development, community engagement, or mission-related activities. Your Listing appears in a Directory sponsored or administered by a single sponsoring Organization. If You maintain Listings in more than one Directory, these Listing Terms apply separately to each Listing, and the sponsoring Organization for each Listing is the organization that sponsors that Directory. The sponsoring Organization is solely and exclusively responsible for setting any applicable Listing Fee, reviewing and approving Listings, determining how Listing Fees support its activities, and making refund, credit, adjustment, cancellation, and remedy decisions, subject to these Listing Terms. These Listing Terms govern Your submission, purchase, renewal, and management of a Listing through the Amplifya Network platform. Your use of the Services is also subject to Amplifya’s Terms of Service and Privacy Policy, which are incorporated into these Listing Terms by reference. Capitalized terms used but not otherwise defined in these Listing Terms have the meanings given in Amplifya’s Terms of Service.
2. Business Listing Submission
You are responsible for submitting accurate, current, and complete information for Your Listing, including business name, contact information, description, category, website, images, logos, and any other information You choose to provide. You represent that You have the authority to submit the Listing on behalf of the business and that the Listing content does not violate any law, third-party rights, platform requirements, Amplifya’s Terms of Service or Privacy Policy.
3. Listing Review and Approval
Listings may be reviewed, approved, rejected, suspended, unpublished, or removed by the sponsoring Organization in accordance with its own participation criteria, including for reasons of brand fit or consistency with the Organization’s mission, values, or standards. Amplifya may also suspend, unpublish, or remove Listings that violate Amplifya’s Terms of Service, Privacy Policy, platform requirements, applicable law, or the integrity of the Services, including any Listing that does not meet the platform eligibility standards described in Amplifya’s Terms of Service. The sponsoring Organization will review each submitted Listing within a reasonable period of time, generally within fourteen (14) calendar days of submission. If additional time is reasonably necessary due to holidays, volunteer availability, organizational scheduling, or other similar circumstances, the sponsoring Organization may take additional time to complete its review. Payment of a Listing Fee does not guarantee approval, publication, continued publication, placement, search ranking, promotion, business results, or inclusion in a Directory. Where the sponsoring Organization declines or removes Your Listing for reasons other than Your breach, Your rights and available remedies are described in Section 5.
4. Listing Fee and Payment
The fee for a Listing, if any (the “Listing Fee”), is set by the sponsoring Organization and may vary by Directory. Listing Fees are intended to support the sponsoring Organization’s fundraising, economic development, community engagement, or mission-related activities, as determined by the sponsoring Organization. The sponsoring Organization determines whether a Listing Fee applies to its Directory. The applicable Listing Fee and the available purchase and renewal options will be presented to You at the time of purchase or renewal. Who charges You. The sponsoring Organization is the merchant of record for Your Listing Fee. Payments are processed through a third-party payment processor designated by Amplifya. Your Listing fee settles directly to the sponsoring Organization’s account. Amplifya does not collect, hold, or disburse Your Listing Fee, and does not store full payment card numbers. Taxes. You are responsible for any taxes associated with Your purchase, unless otherwise stated. Your payment may also be subject to the applicable payment processor’s terms, policies, fees, and processes.
5. Refunds, Credits, Cancellations, and Remedies
Listing Fees are generally non-refundable unless otherwise required by applicable law or these Listing Terms. All refund, credit, adjustment, and remedy decisions related to Listing Fees are made by the sponsoring Organization, which is responsible for providing any refund, credit, or other remedy required by these Listing Terms. Amplifya does not collect Listing Fees on behalf of the sponsoring Organization and cannot and will not issue refunds of those fees. You should direct refund, credit, cancellation, and remedy requests to the sponsoring Organization or use any available tools in the Amplifya platform. Except as set out in this Section 5, whether to offer a partial or full refund, credit, or other remedy is in the sole and exclusive discretion of the sponsoring Organization. If the sponsoring Organization declines or removes Your Listing. If the sponsoring Organization declines Your Listing before it is published for any reason other than Your breach of these Listing Terms — including a determination that Your business is not a good fit for the Organization’s brand, mission, values, or standards — You are entitled to a full refund of the amount You paid for that Listing. If the sponsoring Organization removes Your Listing before the end of the Listing Term for any reason other than Your breach, the sponsoring Organization will provide an appropriate remedy, which may include reinstatement of the Listing, a prorated refund, a credit toward a future Listing Term, or another mutually agreed resolution. No refund, credit, or other remedy is required where Your Listing is rejected, suspended, or removed because of Your breach or violation of these Listing Terms, Amplifya’s Terms of Service, Privacy Policy, applicable requirements, or applicable law. Cancellation by You. You may cancel a Listing, or request the closure of Your account, at any time through the tools available in the Amplifya platform or by contacting the sponsoring Organization. Cancellation alone does not entitle You to a refund, credit, or other remedy, unless otherwise required by these Listing Terms or applicable law.
6. Public Nature of Listings
Listings are intended to be publicly visible. By submitting a Listing, You authorize Amplifya and the sponsoring Organization to display, publish, reproduce, distribute, and promote Your Listing content in connection with the Directory and the Services. You understand that members of the public may view Your Listing and may contact Your business directly using the information You provide.
7. Logo and Brand License
Logo and brand license. As a condition of submitting and maintaining a Listing, and to allow Amplifya to identify and present Your business within the Services, You grant Amplifya a non-exclusive, worldwide, royalty-free license to use Your business name, logo, trademarks, service marks, and brand voice and identity (collectively, Your “Brand Assets”) to identify, label, reference, and display Your business in connection with Your account, Your Listing, the Directory, and the operation, maintenance, support, and promotion of the Services. This license is in addition to the license You grant in Section 6 and under Amplifya’s Terms of Service. You represent that You have the right to grant this license and that Your Brand Assets do not infringe the rights of any third party. You retain ownership of Your Brand Assets, and nothing in these Listing Terms transfers ownership of Your Brand Assets to Amplifya. This license continues while Your account or Listing is active and, to the extent reasonably necessary, for Amplifya’s records, backups, and legitimate business purposes thereafter.
8. No Endorsement or Guarantee
Amplifya provides the technology platform that supports the Directory. Neither Amplifya nor the sponsoring Organization verifies, endorses, certifies, recommends, or guarantees any Business Owner, Listing, product, or service, and Amplifya does not verify, endorse, certify, recommend, or guarantee any sponsoring Organization or Directory. Neither Amplifya nor the sponsoring Organization guarantees visibility, Website traffic, customer inquiries, leads, sales, revenue, referrals, search placement, business growth, or any other commercial result from purchasing or maintaining a Listing.
9. Business Owner Responsibilities
You are responsible for keeping Your Listing accurate and current. You are also responsible for Your business operations, products, services, customer interactions, advertising claims, legal compliance, and use of any inquiries or information You receive as a result of Your Listing. You may submit updates to Your Listing through the Amplifya platform. Certain changes may become effective immediately, while others may require review and approval by the sponsoring Organization before publication, in accordance with the sponsoring Organization’s participation policies and the platform’s functionality. You agree not to submit Listing content that is false, misleading, unlawful, infringing, offensive, discriminatory, harmful, or inconsistent with Amplifya’s Terms of Service or the standards of the sponsoring Organization. You also agree not to submit a Listing that fails to meet the platform eligibility standards described in Amplifya’s Terms of Service. A Listing submitted in violation of this Section may be rejected or removed, and a removal on this basis is treated as a removal for Your breach under Section 5, for which no refund, credit, or other remedy is due. You are responsible for keeping Your account login credentials confidential and for all activity that occurs under Your account. You may authorize individuals or service providers to access and manage Your account or Listing on Your behalf, and You are responsible for ensuring that any authorized user complies with these Listing Terms. You remain responsible for all activity conducted through Your account or Listing, including activity by authorized users.
10. Term and Renewal
Term. Each Listing is purchased for the Listing Term presented to You at the time of purchase (the “Listing Term”). Available Listing Terms are limited to periods that can be fully fulfilled within the sponsoring Organization’s then-current subscription period (the “Listing Purchase Window”), so no Listing extends beyond the sponsoring Organization’s subscription. Your Listing Term begins when You submit payment for the Listing (or, for a Listing with no Listing Fee, when You submit the Listing). Renewal. Listings renew only in accordance with the renewal option selected by the sponsoring Organization and the functionality made available through the Services. The available renewal options, the applicable Listing Term, and the then-current Listing Fee will be presented to You at or before renewal. If Your Listing is not renewed, it will expire at the end of the Listing Term as described below. Expiration and grace period. When Your Listing Term ends without renewal, Your Listing will remain active and visible for an additional fourteen (14) calendar days (the “Business Listing Grace Period”). Upon expiration, You will receive a notice of expiration with an opportunity to renew, where renewal is available. If Your Listing is not renewed by the end of the Business Listing Grace Period, it will be unpublished and removed from the Directory. Expiration does not, by itself, entitle You to a refund, credit, or other remedy.
11. Expiration of Listings; Effect of Organization Non-Renewal or Exit
Your Listing Term is limited to the sponsoring Organization’s Listing Purchase Window, as described in Section 10, so Your Listing Term ends on or before the end of the sponsoring Organization’s then-current subscription term. If the sponsoring Organization does not renew, Your Listing will reach the end of its Listing Term on or before the end of that subscription. Listing Purchase Pause. Beginning two (2) months before the end of the sponsoring Organization’s subscription term, new Listing purchases and Listing renewals in that Directory are paused until the sponsoring Organization renews (the “Listing Purchase Pause”). During the Listing Purchase Pause, existing Listings remain active and visible until their individual expiration dates, but new Listings and Listing renewals are unavailable unless and until the sponsoring Organization renews. This pause applies so that Listing Fees are not collected for a Listing Term that may need to be refunded or remedied if the sponsoring Organization does not renew. If Your Listing Term ends during the Listing Purchase Pause and no renewal is available, Your Listing will expire at the end of its Listing Term, subject to the Business Listing Grace Period described in Section 10, and renewal will not be available unless and until the sponsoring Organization renews. Your Listing appears within a Directory operated by a sponsoring Organization. If the sponsoring Organization terminates, or its Directory otherwise becomes unavailable, before the end of Your paid Listing Term for any reason other than Your breach, the sponsoring Organization will provide an appropriate remedy as described in Section 5, which may include reinstatement of the Listing, a prorated refund, a credit toward a future Listing Term, or another mutually agreed resolution. Amplifya is not responsible for the sponsoring Organization’s decision to renew or not, or for the resulting availability of their Directory, except to publish the Directory as approved by the sponsoring Organization, and Amplifya does not guarantee continued display of Your Listing beyond Your paid Listing Term.
12. Relationship to Sponsoring Organization; Listing Support
You understand that Your Listing appears in a Directory sponsored or administered by a participating Organization. The sponsoring Organization is independent from Amplifya and is responsible for its own communications, fundraising activities, participation criteria, approval decisions, Listing Fees, refund and remedy decisions, cancellations, Directory-specific requirements, and use of Listing Fees. The sponsoring Organization is the primary point of contact for questions about Listing approval, participation criteria, Listing Fees, refunds, remedies, cancellations, use of Listing funds, and Directory-specific requirements. You may request Listing updates, removal, or cancellation through the sponsoring Organization or through any available tools in the Amplifya platform. Other than the contact and brand information You may update at any time under Section 9, Listing updates may be subject to review or approval by the sponsoring Organization or Amplifya before they are published. Removal or cancellation of a Listing does not automatically entitle You to a refund, credit, or adjustment, except as provided in Section 5. Amplifya may provide support for technical or platform-related issues, but Amplifya is not responsible for resolving disputes between Business Owners and sponsoring Organizations regarding Listing approval, fees, refunds, cancellations, participation criteria, or use of Listing funds. Amplifya may require reasonable verification before making account, Listing, payment, or administrative changes.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AMPLIFYA DOES NOT WARRANT THAT THE SERVICES, OR ANY CONTENT, SERVICE, OR FEATURE, WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT. ALL INFORMATION PROVIDED THROUGH THE SERVICES IS SUBJECT TO CHANGE WITHOUT NOTICE. AMPLIFYA CANNOT ENSURE THAT ANY FILES OR DATA DOWNLOADED FROM THE SERVICES WILL BE FREE OF VIRUSES OR DESTRUCTIVE FEATURES. CALDWELL ALLEN CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. AMPLIFYA DISCLAIMS ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES, INCLUDING THE SPONSORING ORGANIZATION, IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SERVICES, AND YOUR SOLE REMEDY AGAINST AMPLIFYA FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.
AMPLIFYA PROVIDES THE TECHNOLOGY PLATFORM THAT SUPPORTS THE DIRECTORY. AMPLIFYA DOES NOT VERIFY, ENDORSE, CERTIFY, RECOMMEND, OR GUARANTEE ANY SPONSORING ORGANIZATION, BUSINESS OWNER, LISTING, PRODUCT, OR SERVICE, AND DOES NOT GUARANTEE VISIBILITY, WEBSITE TRAFFIC, CUSTOMER INQUIRIES, LEADS, SALES, REVENUE, REFERRALS, SEARCH PLACEMENT, BUSINESS GROWTH, OR ANY OTHER COMMERCIAL RESULT FROM PURCHASING OR MAINTAINING A LISTING.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPLIFYA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES, YOUR LISTING, OR THESE LISTING TERMS, EVEN IF AMPLIFYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPLIFYA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE LISTING TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID TO AMPLIFYA BY YOU WITH RESPECT TO THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (BUT NOT INCLUDING ANY LISTING FEE OR OTHER AMOUNT PAID TO A SPONSORING ORGANIZATION) OR (B) ONE HUNDRED U.S. DOLLARS (US$100). YOU ACKNOWLEDGE THAT YOUR LISTING FEE IS PAID TO THE SPONSORING ORGANIZATION AND NOT TO AMPLIFYA.
15. Incorporated Terms and Order of Precedence
Amplifya’s Terms of Service and Privacy Policy are incorporated into these Listing Terms by reference. If there is a conflict between these Listing Terms and Amplifya’s Terms of Service, these Listing Terms will control only with respect to Your specific rights and obligations as a Business Owner purchasing or managing a Listing. Amplifya’s Terms of Service will continue to govern general platform use, acceptable use, intellectual property, disclaimers, limitations, third-party services, dispute resolution, and other platform-wide terms unless expressly modified by these Listing Terms.
