Analytics and Usage Data
Amplifya Network records aggregate engagement events on public directory pages — such as page views, searches, listing views, and outbound link clicks — to help participating organizations understand how their directories are used. These events are tied to the organization’s directory, not to individual visitors, and we do not collect names, email addresses, or other personally identifiable information through this analytics feature. 1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Caldwell Allen Consulting, LLC, a Georgia limited liability company (“Caldwell Allen Consulting,” “Amplifya Network,” “Amplifya,” “we,” “us,” or “our”) governing your access to and use of the Amplifya Network platform, websites, organization-branded directories, and related services (collectively, the “Services”).
BY ACCESSING, BROWSING, CREATING AN ACCOUNT, PURCHASING A LISTING, OR OTHERWISE USING THE SERVICES, YOU AGREE TO THESE TERMS AND TO OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
Amplifya reserves the right, at its sole discretion, to change, update, modify, suspend, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Service periodically for changes. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Service, We grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Services. If you accept these Terms on behalf of an organization or business, you represent that you have authority to bind that entity to these Terms.
2. Who These Terms Cover
The Services involve three types of users: Organizations, Business Owners, and Individual Users. These Terms apply to everyone who accesses or uses the Services, including casual visitors who do not create an account. Organizations and Business Owners are also subject to a separate agreement that governs their commercial relationship with Amplifya. For Organizations, that agreement is the Organization Agreement. For Business Owners, those are the Business Listing Terms. These Terms govern platform-wide use; the Organization Agreement and the Business Listing Terms govern the commercial terms specific to each role. Additional terms for each role appear in Section 7 (Organizations), Section 8 (Business Owners), and Section 9 (Individual Users).
3. Definitions
- “Organization” means any association, nonprofit organization, alumni association, fraternity, sorority, faith-based organization, civic group, municipality, government entity, chamber of commerce, economic development organization, professional association, membership organization, or other entity that creates, manages, sponsors, or administers a Directory on the platform.
- “Administrator” means an individual authorized by Amplifya, an Organization, or a Business Owner to access and manage account settings, Listings, Directory content, users, or other administrative functions within the Services.
- “Business Listing Terms” means the Amplifya Network Business Listing Terms accepted by a Business Owner.
- “Business Owner” means a person or entity that purchases and/or manages a Listing in a Directory.
- “Content” means information, text, images, logos, and other materials submitted to the Services.
- “Directory” means an organization-branded online business directory hosted on the platform.
- “Individual User” means a member of the public who browses, searches, or otherwise interacts with a Directory or other publicly available portions of the Services.
- “Listing” means the profile and other content submitted by a Business Owner for publication in a Directory.
- “Organization Agreement” means the Amplifya Network Organization Agreement entered into between Amplifya and an Organization.
4. Eligibility and Accounts
You must be at least 18 years old (or the age of majority where you reside) and capable of entering into a legally binding agreement to create an account, purchase a Listing, administer a Directory, or otherwise engage in transactions through the Services. You are responsible for the accuracy of your registration information, for keeping your login credentials secure, and for all activity under your account. Administrator accounts must enable available security features where the platform requires it. Notify us promptly at info@amplifyanetwork.com of any unauthorized use of your account.
5. Acceptable Use
You agree not to:
- violate any law or the rights of others;
- engage in any activity that exploits, harms or threatens to harm another
- post content that is illegal, discriminatory, harmful, fraudulent, deceptive false, misleading, infringing, defamatory, obscene, harassing, or otherwise promotes or encourages violence, violation of laws, self-mutilation, eating disorders, drug abuse or otherwise harmful;
- upload viruses, malware or malicious code, or do anything that could damage, disable, overburden, interfere with, disrupt, or impair the site or related systems (such as denial-of-service attacks or interference with page rendering or other site functionality;
- scrape, harvest, or bulk-export directory data except as expressly permitted in writing;
- attempt to gain unauthorized access to the Services or related systems;
- use the Services to send spam or unsolicited commercial messages;
- misrepresent your identity or your affiliation with any person or entity;
- interfere with the normal functioning or use of the site; or
- share your login credentials, or permit any person who is not authorized to act on your behalf to access or use your account. We may investigate suspected violations and take action, including removing content and suspending or terminating accounts.
6. Content and Intellectual Property
Your Content. You retain ownership of the Content you submit. You grant Amplifya and the relevant sponsoring Organization a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Content as needed to operate, maintain, support, and promote the Services and the Directory in which your Content appears. You represent that you have the rights necessary to grant this license and that your Content does not infringe the rights of others. Our materials. The Services, including all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, software, design, and trademarks, are owned by Amplifya or its licensors and are protected by law. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Services as intended by these Terms. Limitation on Use. The Amplifya Network name, logos, and related marks may not be used without our prior written permission. Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without Amplifya’s express prior written consent. Feedback. If you send us suggestions or feedback, we may use them without any obligation or compensation to you.
7. Terms for Organizations
- Role and license. Amplifya grants each Organization a limited right to create and operate a branded Directory through the Services. The Organization is responsible for its Directory, including the content it publishes, its branding, the accuracy of information it adds, and its communications with Business Owners and Individual Users.
- Independent Organizations. Organizations are independent entities and are not employees, agents, joint venturers, partners, or representatives of Amplifya. Amplifya is not responsible for an Organization’s operations, fundraising activities, communications, decisions, or compliance with applicable laws.
- Governing commercial terms. The commercial terms that govern an Organization’s use of the Services — including fees, payments, subscription term and renewal, the Directory lifecycle, refunds and remedies, and termination — are set out in the Organization Agreement. If there is a conflict between these Terms and the Organization Agreement regarding those commercial terms, the Organization Agreement controls.
- Acceptable conduct. The Organization must not use the Services, or Business Owner or Individual User data, for any purpose inconsistent with these Terms, the Organization’s own published policies, or applicable law (including unlawful marketing).
8. Terms for Business Owners
- Listings and accuracy. You may submit and/or purchase a Listing in one or more Directories. You are responsible for ensuring your Listing is accurate, lawful, not misleading, and kept up to date.
- Governing commercial terms. The commercial terms that govern Business Owner Listings — including Listing Fees, payment, the Listing Term, renewal, expiration, cancellation, refunds and remedies, and suspension or removal — are set out in the Business Listing Terms. By submitting, purchasing, renewing, or managing a Listing, you agree to the Business Listing Terms. If there is a conflict between these Terms and the Business Listing Terms regarding those commercial terms, the Business Listing Terms control.
- Public nature of Listings. Listing information is published publicly, as described in our Privacy Policy (Public Directory Information).
- Suspension and removal. Amplifya or the sponsoring Organization may suspend, unpublish, or remove a Listing that violates these Terms, applicable policies, or the Organization’s participation requirements, or for non-payment or other authorized reasons, as further described in the Business Listing Terms.
9. Terms for Individual Users
- Account and use. Individual Users may access, browse, search, and interact with publicly available Directories and other portions of the Services without creating an account. Certain features of the Services may require an account, including features available to Organizations, Business Owners, Administrators, or other authorized users.
- Acceptable use. You agree to use Directories for their intended purpose and not to scrape, harvest, or misuse business or contact information, or to use the Services to send unsolicited commercial messages to Business Owners.
- No verification or endorsement. Neither Amplifya nor participating Organizations verify the accuracy, completeness, qualifications, licensing, products, services, or representations of any Business Owner or Listing. Inclusion in a Directory does not constitute an endorsement, recommendation, certification, or guarantee by Amplifya or the sponsoring Organization. Any interactions, transactions, or dealings with a Business Owner are solely between you and that Business Owner.
10. Payments, Taxes, and Third-Party Processors
Unless otherwise stated, fees are exclusive of applicable taxes. You are responsible for any taxes associated with your purchase or use of the Services. Payment processing is provided by third-party payment processors, and your use of those services is subject to the applicable processor’s terms and policies. Amplifya does not store full payment card numbers. The fee, payment, refund, and remedy terms that apply to Organizations are set out in the Organization Agreement, and those that apply to Business Owner Listings are set out in the Business Listing Terms.
11. Third-Party Services and Links
The Services may contain links to, integrate with, or otherwise make available third-party websites, services, content, or resources. Amplifya does not control and is not responsible for the availability, accuracy, content, products, services, privacy practices, or policies of any third party. Your use of any third-party website or service is solely between you and the applicable third party and is subject to that third party’s terms and policies.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AMPLIFYA DOES NOT PROMISE THAT THE SERVICES OR ANY CONTENT, SERVICE OR FEATURE OF IT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SERVICES WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. AMPLIFYA CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. AMPLIFYA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AMPLIFYA DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY AMPLIFYA SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST AMPLIFYA FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.
AMPLIFYA DOES NOT ENDORSE, RECOMMEND, CERTIFY, VERIFY, OR GUARANTEE ANY ORGANIZATION, BUSINESS OWNER, PRODUCT, SERVICE, OR LISTING. USERS ARE RESPONSIBLE FOR INDEPENDENTLY EVALUATING ANY ORGANIZATION OR BUSINESS OWNER BEFORE ENGAGING IN ANY TRANSACTION OR BUSINESS RELATIONSHIP.
The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPLIFYA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, FUNDRAISING RESULTS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF AMPLIFYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS OF SERVICE, AMPLIFYA IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES OR ANY CONTENT, AMPLIFYA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL OF ANY AMOUNT PAID WITH RESPECT TO ANY SERVICE OR FEATURE OF OR ON THE SITE PAID IN THE SIX MONTHS PRIOR TO THE DATE OF THE INITIAL CLAIM MADE AGAINST AMPLIFYA (BUT NOT INCLUDING THE PURCHASE PRICE FOR ANY PAYMENTS MADE TO AN ORGANIZATION OR BUSINESS OWNER) OR (B) ONE HUNDRED U.S. DOLLARS (USD$100).
14. Indemnification
To the extent permitted by applicable law, you will defend, indemnify, and hold harmless Amplifya, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Content, your use of the Services, or your violation of these Terms or applicable law.
15. Term, Suspension, and Termination
These Terms remain in effect for as long as you access or use the Services. Amplifya may suspend, restrict, or terminate your access to all or part of the Services at any time if we reasonably believe you have violated these Terms, applicable law, or policies governing the Services, or if necessary to protect the Services, Amplifya, Organizations, Business Owners, or other users. You may stop using the Services at any time. Business Owners may cancel a Listing, or allow it to expire, as described in the Business Listing Terms, and Organizations may manage termination as described in the Organization Agreement. Amplifya may modify, suspend, discontinue, or remove any feature, functionality, Directory, Listing, or portion of the Services at any time with or without notice. Beta, pilot, preview, or experimental features may be modified, suspended, discontinued, or removed at any time, with or without notice. The Services will continue to evolve over time. Product features, workflows, pricing presentation, timing, and operational processes may change as the platform matures. These Terms, the Organization Agreement, and the Business Listing Terms establish the parties’ rights and responsibilities and are not a description of specific platform functionality, and changes to features, workflows, or operational processes do not modify the parties’ agreements unless they materially alter the parties’ contractual rights and obligations. Upon termination, your right to access and use the affected Services will immediately cease. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, payment obligations, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.
16. Accounts, Passwords and Security
Users of the Services may be required to open an account, including a user ID and password. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Amplifya immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Amplifya or any other user of or visitor to the Site due to someone else using your user id, password or account as a result of your failing to keep your account information secure and confidential. You may not use anyone else’s credentials or account at any time without the express permission and consent of the holder of those credentials. You may authorize individuals or service providers to access and manage your account on your behalf, without Amplifya’s approval, and you remain responsible for all activity conducted through your account, including activity by authorized users. Amplifya shall not be liable for any loss or damage arising from your failure to comply with these obligations.
17. Platform Eligibility Standards
Amplifya maintains minimum platform standards for all Listings. A Listing may not: be illegal or violate applicable law; violate these Terms or Amplifya’s Privacy Policy; violate the requirements of Amplifya’s payment processors; involve fraud, deception, or the infringement of the rights of others; or otherwise create a material legal, regulatory, security, or reputational risk to Amplifya or the operation of the Services. Amplifya may reject, suspend, unpublish, or remove any Listing that does not meet these minimum platform standards.
Beyond these minimum platform standards, each Organization determines the eligibility of lawful businesses for its Directory based on its own mission, values, and participation criteria, as described in the Organization Agreement and the Business Listing Terms. Amplifya does not determine the eligibility of lawful businesses for an Organization’s Directory.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. Any dispute must be brought exclusively in the state or federal courts located in DeKalb County, Georgia, and you consent to their jurisdiction.
19. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and any applicable Organization Agreement or Business Listing Terms constitute the entire agreement between you and Amplifya regarding the Services and supersede any prior or contemporaneous understandings relating to the Services.
- Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
- No waiver. Amplifya’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms without Amplifya’s prior written consent. Amplifya may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
- Notices. Amplifya may provide notices to you through the Services, by email, or through other reasonable means. Notices to Amplifya may be sent to info@amplifyanetwork.com or by mail to P.O. Box 888752, Dunwoody, Georgia 30356.
- Force majeure. Neither party will be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or telecommunications failures, or other events beyond its reasonable control.
